WHAT IS PIPE
FINANCING?
PIPE is an acronym (word formed
from the first letters of a term) for a
Private Investment in a Public Entity.
Certain mutual funds and other capital
sources have risk capital that they allocate
for PIPE investments. The mutual fund will
buy a block of stock from a company at a
discount-ranging from 10 percent to 25
percent. The stock is registered to sell and
then hopefully sold at a profit. Often the
financing can be closed in less than a
month. The quick closing is one of the
reasons the public company is willing to
sell the block of stock at a discount.
Time, price, and regulatory issues are
important in the transaction. For a stock to
qualify for PIPE financing the average
trading volume of the stock should be
adequate to sell the block of stock without
depressing the price of the stock
significantly. Although the trading price of
the stock is important when the PIPE is
considered, it is not as important as the
trading range and volume of the stock. There
are two main types of PIPEs - traditional
and structured. A traditional PIPE is common
or preferred. A structured PIPE issues
convertible debt. PIPEs are attractive for
micro cap public companies that have a
difficult time accessing capital.

LETTER OF CREDIT FUNDED
What is a Letter of Credit? A letter of
credit is a document usually issued by a
bank authorizing the recipient of the
letter (you--the bank's customer) to be
able draw down money up to a specified
amount, in compliance with terms and
conditions specified in the LOC, to
assure a new supplier ("beneficiary" of
the LOC) that it will receive payment
for any goods it delivers to the
you--customer. It's a financial
instrument issued by a bank that
substitutes the bank's credit for the
credit of the bank's customer.

GRAMMAR
A Lot or Allot? A lot (two
words) is an informal phrase meaning "many."
It can take an adjective, for example, "a
sizeable lot." Example: Karl needed a lot of
time for the job. Allot means "to distribute
between or among." It has the same root as
lottery. Example: He allotted three breaks a
day to everyone in the department. Alot does
not exist as a word.

the word amount with quantities that
cannot be counted and number with
quantities that could be counted
one-by-one. Examples: He had a small
amount of ammunition left. He had a
small number of bullets left. This
follows a pattern similar to fewer and
less.

Assume or Presume?
Assume has a variety of meanings.
It basically means "to take up or on
oneself," "to suppose or take for
granted," "to pretend," or "to be
taken up." The noun form is
assumption. Presume is related to
and similar to assume, but it has
the sense of doing it beforehand. It
means "to dare or venture without
prior knowledge," "to assume as
believable without direct proof,"
"to take as a premise, subject to
further proof," or "to behave
arrogantly or overconfidently." The
noun form is presumption.

Theirs is a possessive pronoun.
There's is a contraction for there
is or, rarely, there has. Note the
apostrophe replacing the missing
letter or letters. Their's does not
exist. Examples: That painting is
theirs. (possessive pronoun) There's
more to this than meets the eye.
